Data Contribution Terms

These Data Contribution Terms ("Contribution Terms") govern any price, cash-in-trust, trust balance, share count, or expense data ("Contributed Data") that you submit through the PrimeRisk platform ("Platform") operated by PrimeRisk ("Company", "we", "us"). By submitting any Contributed Data, you agree to these Contribution Terms in addition to our general Terms of Service.

1. License Grant

By submitting Contributed Data through the Platform, you grant PrimeRisk a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, store, adapt, modify, publish, translate, distribute, and display the Contributed Data in any form and through any medium, whether now known or hereafter developed, including for commercial purposes.

This license includes, without limitation, the right to:

• display the Contributed Data to you and, if approved by PrimeRisk, to other subscribers;
• use the Contributed Data as a reference or "external price" in PrimeRisk's data products;
• incorporate the Contributed Data into aggregated, anonymized datasets;
• sublicense the Contributed Data as part of PrimeRisk's data offerings.

2. Representations and Warranties

By submitting Contributed Data, you represent and warrant that:

• Legitimate source. The Contributed Data was obtained from a legitimate source and through lawful means. You have not obtained the data through unauthorized access to any computer system or non-public information channel.
• No confidentiality restriction. The Contributed Data is not subject to any non-disclosure agreement, confidentiality obligation, or other restriction that would prevent you from sharing it. Do not submit data that is proprietary, confidential, or subject to any restriction on dissemination.
• Right to grant license. You have full right, power, and authority to grant the license set forth in Section 1. The Contributed Data does not infringe any third-party intellectual property rights.
• Accuracy. To the best of your knowledge, the Contributed Data is accurate as of the date submitted. You acknowledge that PrimeRisk does not verify the accuracy of Contributed Data and is not responsible for errors in your submission.
• No material non-public information. The Contributed Data does not constitute material non-public information ("MNPI") as defined under applicable securities laws. Do not submit data derived from insider information or other MNPI sources.

3. External Price Use

PrimeRisk may, at its sole discretion, designate any Contributed Data as an "Externally Contributed" reference price and display it to all subscribers of the Platform. You acknowledge and agree that:

• PrimeRisk has no obligation to publish, approve, or use any Contributed Data.
• Approved Contributed Data will be attributed to "External Contributor" and will not identify you personally, your firm, or any other identifying information.
• PrimeRisk may modify, adjust, or discontinue the display of any Contributed Data at any time without notice.
• Other subscribers who view Externally Contributed data may rely on it for investment decisions. You acknowledge this downstream use and accept responsibility for the accuracy of your submissions.

4. No Compensation

You acknowledge that you are contributing data voluntarily and that you are not entitled to any compensation, remuneration, royalty, or other payment from PrimeRisk in connection with your Contributed Data, regardless of how PrimeRisk uses it.

5. Indemnification

You agree to indemnify, defend, and hold harmless PrimeRisk and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• any breach of your representations, warranties, or obligations under these Contribution Terms;
• any claim that your Contributed Data infringes a third-party right;
• any claim arising from the accuracy or inaccuracy of your Contributed Data;
• any violation of applicable law in connection with your submission.

6. Disclaimer of Warranties

PrimeRisk provides the ability to submit Contributed Data on an "as is" basis. PrimeRisk makes no representations about the use to which Contributed Data will be put and disclaims all liability for decisions made by any party in reliance on Contributed Data, whether submitted by you or any other user.

7. Deletion of Contributed Data

You may delete your own Contributed Data that has not yet been approved by PrimeRisk at any time through your dashboard. Once Contributed Data has been approved and incorporated into PrimeRisk's published dataset, PrimeRisk may retain anonymized copies for data integrity and audit purposes even after deletion by you. Any such retained copies will not identify you as the source.

8. Modifications

PrimeRisk reserves the right to modify these Contribution Terms at any time. Continued submission of Contributed Data after notice of any modification constitutes acceptance of the modified terms. Material changes will be communicated by posting an updated effective date on this page.

9. Governing Law

These Contribution Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any dispute arising under these terms shall be resolved exclusively in courts of competent jurisdiction located in Essex County, New Jersey.
